Customer Referral Agreement

1. Overview

This Referral Program allows registered Shelf Planner account holders to earn referral rewards by referring new customers to Shelf Planner's paid services. Participants in the program ("Referrers") can share a unique referral link.

When a new customer signs up using this link and meets the eligibility criteria, both the Referrer and the referred customer will receive benefits as outlined below.

This program complies with Swedish and EU consumer protection laws.

2. Eligibility

• Participants must have an active Shelf Planner account and agree to these terms to create a referral link via their Shelf Planner admin dashboard.
• Both the Referrer and their business, if applicable, must be located in countries where Shelf Planner is legally authorized to send payouts (e.g. non-sanctioned countries).

3. Referral Rewards and Conditions

• Shelf Planner offers a 20% discount for the first three months to the referred customer’s account upon successful signup.
• Referrers will receive 50% of the payments made by the referred customer for the first three months, up to a maximum of € 500 per successfully referred customer.
• Referrals are valid only if the referred customer signs up within 7 days of clicking the referral link and subscribes to a paid plan.
• Referral rewards comply with Swedish and EU tax laws. VAT may apply as required by law. The referred customer has the right of withdrawal in line with EU consumer rights.

4. Restrictions

• Rewards apply only to new customers. Existing account holders upgrading to a boost plan are not eligible.
• Referrers are prohibited from using their own referral link (self-referral), creating multiple accounts (multi-accounting), or cycling between accounts.
• Referral links must not be broadcasted on public platforms such as coupon sites or discount databases.
• Referrers cannot bid on Shelf Planner-related keywords in paid advertising campaigns or create content solely to promote their referral discount.

5. Marketing Use

• Referrers may use the Shelf Planner logo for promotional purposes but must obtain a high- quality version directly from Shelf Planner's website.
• Referrers are not allowed to run ad campaigns that directly compete with Shelf Planner own campaigns or launch SEO campaigns that significantly compete with Shelf Planner's branded organic search results.

6. Tax Responsibilities

• Referrers are responsible for all applicable taxes on their referral rewards.
• Shelf Planner may request completion of relevant Swedish/EU tax forms (e.g., SKV forms for Sweden) from Referrers to process referral payouts.
• Shelf Planner will report payouts to Swedish/EU tax authorities if required by law.

7. Termination and Changes

• Shelf Planner reserves the right to terminate the referral program or a participant’s account, alter these terms, or discontinue the program at any time without notice.
• Significant changes to the terms will be communicated with a notice period of at least 30 days, as required by Swedish/EU consumer law.

8. Liability

• Shelf Planner is not liable for any errors, accidents, or issues arising from participation in the referral program, except as required by Swedish/EU law. Liability for indirect damages is excluded to the extent permitted by law.

9. Data Privacy

• Participation requires collection and use of personal information, governed by Shelf Planner's privacy policy and GDPR.
• Participants have the right to access, rectify, or erase their personal data.

10. Dispute Resolution

• Shelf Planner holds the final decision authority in disputes related to the referral program.
• Disputes will be resolved in accordance with Swedish law and under the jurisdiction of Swedish courts. Participants are encouraged to use alternative dispute resolution (ADR) mechanisms, as provided by EU law.

By participating in the Shelf Planner Customer Referral Program, you acknowledge and agree to the terms set forth in this agreement.
